“Bearing Factory” shall refer to the owner and operator of the bearing and bearing parts trading and distribution business.
“Bearing” shall refer to the bearing and bearing parts manufactured and/or sold by the Bearing Factory.
“Buyer” shall refer to the person or entity purchasing the Bearing from the Bearing Factory.
Warranty - The Bearing Factory warrants that the Bearing and Bearing Parts it sells and distributes are free from defect in material and workmanship. The Bearing Factory warrants that the Bearing and Bearing Parts will conform to the specifications provided by the Buyer.
Delivery - The Bearing Factory shall deliver the Bearing and Bearing Parts to the Buyer in accordance with the terms of the purchase order. The Bearing Factory shall be responsible for all costs associated with the delivery of the Bearing and Bearing Parts.
Payment - The Buyer shall pay the Bearing Factory for the Bearing and Bearing Parts in accordance with the terms of the purchase order.
Limitation of Liability - The Bearing Factory shall not be liable for any indirect, special, consequential, or punitive damages arising out of or in connection with the purchase, sale, delivery, or use of the Bearing and Bearing Parts.
Governing Law - These terms and conditions shall be governed by and construed in accordance with the laws of the state of [STATE], without giving effect to any principles of conflicts of law.
Severability - If any provision of these terms and conditions is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
Entire Agreement - This Agreement constitutes the entire agreement between the Bearing Factory and the Buyer with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements or understandings, written or oral, between the parties with respect to such subject matter.
